4. Payment Terms

• A deposit is required before project commencement (typically 50%)
• Final payment is due upon project completion and before launch
• All prices are in USD unless otherwise specified
• Late payments may incur additional fees
• We reserve the right to suspend work on projects with overdue payments

5. Intellectual Property

Ownership

Upon full payment, you will own the final deliverables created specifically for your project. We retain the right to use the work in our portfolio and marketing materials unless otherwise agreed in writing.

Third-Party Materials

Some projects may include third-party assets (fonts, images, plugins) which are subject to their own licenses. We will inform you of any such licenses that apply to your project.

6. Project Timeline

Project timelines are estimates based on the scope of work and your responsiveness. Delays caused by late content delivery, extended review periods, or scope changes may extend the timeline. We will communicate any significant changes to the schedule.

7. Revisions and Changes

• The number of revisions included will be specified in your project proposal
• Additional revisions beyond the agreed scope may incur extra charges
• Major scope changes may require a new proposal and additional fees
• Revision requests must be submitted in writing

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• We do not guarantee specific business results or outcomes
• We do not guarantee specific search engine rankings
• Services are provided "as is" without warranties of merchantability or fitness for a particular purpose

9. Limitation of Liability

To the maximum extent permitted by law, Unicorn Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount paid by you for the services.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of our agreement.

11. Termination

Either party may terminate the agreement with written notice. Upon termination:

• You will pay for all work completed up to the termination date
• Deposits are non-refundable unless otherwise specified
• We will provide you with any completed deliverables upon payment

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through good-faith negotiation or, if necessary, through binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
